Terms of Use

1. Acceptance of Terms

These Terms of Use (“Terms”) govern access to and use of the SEO-Invoke Digital Agency (“SEO-Invoke”, “we”) website by any person (“User”). By accessing or using the site, you accept these Terms. If you do not agree, do not use the site.

These Terms do not replace or modify any commercial agreements or proposals that may be signed for the engagement of services (“Service Agreement”), which shall prevail in case of conflict.

2. Services offered

SEO-Invoke provides digital marketing services that may include SEO, AEO, SEM, content strategy, web development and analytics consulting. The scope, pricing, timelines and deliverables will be defined exclusively in a Service Agreement (proposal, quote, contract or equivalent document) accepted by the client (“Client”).

The information on the site is for informational purposes and does not constitute a binding offer.

3. Payments and billing (Clients only)

  • Fees and billing conditions will be as indicated in the Service Agreement.
  • Unless the Service Agreement provides otherwise, payment must be made within the period indicated on the invoice.
  • In case of delay, interest or late charges may apply as permitted by applicable regulations and/or as agreed in the Service Agreement.
  • We may temporarily suspend services if amounts are overdue, with reasonable prior notice, except in cases of urgency or risk.

4. Client obligations (Clients only)

  • Provide, diligently, the access and information necessary (e.g., website, analytics, advertising accounts) to execute the service.
  • Review and approve deliverables within reasonable timelines when the service requires it.
  • SEO-Invoke shall not be liable for delays or breaches arising from lack of cooperation, delays in approvals or incomplete information from the Client.

5. Intellectual property

  • SEO-Invoke retains ownership of its methodologies, know-how, templates, tools and pre-existing or generally developed materials (“SEO-Invoke Materials”).
  • To the extent necessary for use of the deliverables, the Client receives a non-exclusive, non-transferable, worldwide license to use SEO-Invoke Materials incorporated in the deliverables, exclusively for internal or business purposes, once payment obligations are satisfied.
  • The Client warrants that the content, brands, texts, images or materials it provides have sufficient rights and do not infringe third-party rights, holding SEO-Invoke harmless from claims arising from such materials.

6. Confidentiality

  • Each party undertakes to keep confidential the non-public information of the other party to which it has access in connection with the provision of services.
  • This obligation shall survive the termination of the Service Agreement for a reasonable period or as agreed in such agreement.
  • Information that is public without breach, legitimately obtained from third parties, or must be disclosed by legal obligation shall not be considered confidential.

7. Limitation of liability

  • SEO-Invoke does not guarantee specific search engine positions or specific results, as these depend on external factors (algorithms, competition, platform, budget, Client decisions, etc.).
  • Except for fraud or liability that cannot be legally limited, SEO-Invoke’s total liability arising from the Service Agreement shall be limited to a maximum of the amount actually paid by the Client in the last 3 months for the affected service.
  • In no event shall SEO-Invoke be liable for indirect, consequential or lost profit damages.

8. Termination (Clients only)

  • Either party may terminate the Service Agreement in accordance with the timelines and conditions set out in said agreement; in the absence of provision, with 30 days’ written notice.
  • Upon termination, accrued and outstanding amounts shall be payable as agreed.
  • Deliverables: the Client shall retain deliverables already paid for.
  • Access and accounts: the Client is responsible for its third-party accounts (e.g., Google, Meta). Upon request, SEO-Invoke will facilitate reasonable transition of access and configurations within a reasonable scope.
  • Client data: where applicable, and subject to legal retention obligations, SEO-Invoke may delete or return Client information as agreed and in accordance with its privacy policy.

9. Governing law and jurisdiction

These Terms are governed by the laws of Spain. For any dispute related to the use of the website, the parties submit to the courts of Ciudad Real, unless applicable regulations provide otherwise.

For disputes arising from a Service Agreement, the jurisdiction agreed in such agreement shall apply; in the absence thereof, the foregoing paragraph shall apply.

10. Changes to Terms

We may update these Terms periodically. We will publish the current version on this page indicating the “Last updated” date. Continued use of the site after publication of changes implies acceptance of the updated version.
